1. Overview
This Partner Agreement (“Agreement”) is entered into between SiteSailors (“Company,” “we,” “us”) and you (“Partner,” “you”). By accepting this Agreement, you become an authorized partner in the SiteSailors Partner Program.
2. Roles & Responsibilities
SiteSailors Responsibilities
- Build, host, and maintain all customer websites
- Handle all customer support tickets and edit requests
- Provide the technology platform, billing infrastructure, and white-label tools
- Process partner commission payouts via Stripe Connect
Partner Responsibilities
- Market and refer new customers through your branded site
- Serve as the customer-facing brand (your brand name, not SiteSailors)
- Provide first-line communication with your customers as needed
- Maintain accurate and professional branding on your partner site
3. Commission Structure
Base Commission
You earn a 20% commission on the base price of each customer you refer, paid monthly after each successful invoice payment.
Custom Pricing & Upcharges
You may set your own prices above or below our base prices:
- Upcharge: If you charge more than the base price, you keep 80% of the upcharge amount and 20% goes to your referring partner (if any).
- Undercharge: If you charge less than the base price, the difference comes out of your base commission. Our fee remains unchanged.
Multi-Level Commissions
If you recruit sub-partners, the same commission structure cascades. Each level in the partner tree earns a diminishing share, ensuring everyone in the chain benefits.
4. Payment Terms
- Commissions are calculated per invoice when a customer payment succeeds
- Payouts are processed monthly via Stripe Connect
- You must complete Stripe Connect onboarding to receive payouts
- You may use a personal name for Stripe Connect initially and update to a business later
- Commissions accrue in your account until Stripe Connect onboarding is complete
5. Pricing Changes & Grandfathering
SiteSailors reserves the right to change base pricing for new customers at any time. When base pricing changes:
- Existing customers keep their price at the time of signup (grandfathered)
- Your commission rate on grandfathered customers remains unchanged
- You will be prompted to optionally adjust your pricing for new customers only
6. Deactivation
Either party may deactivate the partnership. When your partner account is deactivated:
- You can still log in, view your dashboard, manage existing customers, view and comment on tickets, and receive commissions
- You cannot accept new customer signups (your branded signup page will show “not accepting new clients”)
- Commissions continue until your last referred customer cancels their subscription
7. Termination
This Agreement may be terminated by either party with 30 days written notice. Upon termination:
- Your branded site will be taken offline
- Outstanding commissions will be paid out within 30 days
- Customer relationships transfer to SiteSailors directly
- We reserve the right to terminate immediately for fraud, misrepresentation, or violation of this Agreement
8. Multiple Brands
Partners may create multiple brands within their account. Each brand operates independently with its own:
- Subdomain and branding (name, logo, colors)
- Custom pricing
- Credit card statement descriptor
All brands share a single Stripe Connect account for payouts.
9. Intellectual Property
You may use the SiteSailors name only in the context of this partnership. Your brand name, logo, and content remain your property. Website templates and the platform technology remain SiteSailors property.
10. Limitation of Liability
SiteSailors is not liable for any indirect, incidental, or consequential damages arising from this Agreement. Our total liability shall not exceed the total commissions paid to you in the preceding 12 months.
11. Modifications
We may update this Agreement with 30 days notice. Continued participation after the notice period constitutes acceptance of the updated terms.
